This privacy policy (“Policy”) describes how Prepare Protect Defend, Inc., (“PPD”) collects and uses information provided by and about you when you download and use any of the three different versions of the App offered by PPD: LifeSpot, LifeSpot Responder, and LifeSpot Commander.

Typically, the App will be provided to you in conjunction with another entity, such as an employer, landlord, building management company, educational institution, or another large user that provides a location or facility in which you may encounter an active threat (these large entities are referred to as “Enterprise Users”).

This Policy only governs the information collected about you by PPD. Any information you provide to an Enterprise User will be governed by your relationship with that Enterprise User. In addition, any information provided by an Enterprise User to PPD will be governed by our agreement with that Enterprise User.

If you have questions about any such information, please consult your Enterprise User.

Typically you will be given an activation code (“Code”) by the Enterprise User. The App is available for download by anyone from the Apple App Store and the Google Play store. Once you download the App, you can enter your Code to activate the App. Once you activate the App, we will use the Code to identify your device with any personal information provided by the Enterprise User and any personally identifiable information that you provide to us during registration (collectively, “Personal Information”).

Among the Personal Information that we may have access to is the following:

Name
Device identifier
Phone number
Type of mobile device
The operating system of your mobile device
IP address
Wireless carrier
Email address

In addition, when you activate the App, we automatically start to collect detailed real-time precise location information, which may be in the form of GPS signals from the mobile device on which you have installed and activated the App or Bluetooth location or wireless tracking using near field tracking technology (“Location Information”). We may use various technologies to determine your Location Information, such as location services of the applicable operating system or browser, GPS, Bluetooth, i-Beacon, RFID, and sensor data from your devices, along with nearby Wi-Fi access points and cell towers, and other technologies to determine your device’s location.

The App may also share your Location Information on a map or by communicating with other users. For your safety, the App only shares your Location Information with first responders using the LifeSpot Control version of the App. The App includes real-time communication features that allow you to communicate with other users. In the event the App is activated, you should only use such communication features to share your Location Information with users of the LifeSpot Control Version of the App as other persons may have access to other versions of the App and those users may not always be persons that you can trust. You understand that the nature of such communications features is such that if you make your Location Information available other users, PPD cannot control what other users who receive this information when using the App or the Services will do with it.

USE AND DISCLOSURE OF INFORMATION.

PPD uses your Personal Information to provide the App. In addition, PPD may use any non- Personal Information that it collects, such as the performance of the App, accuracy of Location Information, information about devices, etc. (“Usage Information”) to improve the App and to assist law enforcement. You agree that all information collected when the App is activated may be used by PPD for this purpose and may be provided to law enforcement in connection with any investigation and that you have no expectation of privacy with respect to such uses.

PPD may use Usage Information to facilitate the provision of software updates, product support and other services to you (if any), including by sending email or text messages to your wireless phone, tablet, or other mobile device (each a “Device”). You also grant PPD an irrevocable, perpetual, royalty-free right and license to use your Usage Information to enhance our products and services and to develop new products and services.

PPD may use your precise geographical location information in order to provide you with information about your performance and that otherwise provide services and functionality that you have requested.

You also agree that PPD may share any information you provide in the event of a sale, merger, dissolution, bankruptcy, corporate reformation or other corporate restructuring of PPD, or in the event that PPD sells, assigns, or transfers substantially all of its rights in the App.

PPD may also disclose any your information with third parties as follows: (a) to the extent necessary to comply with applicable law and our legal obligations, such as to comply with a subpoena or similar legal process or assist law enforcement with an investigation into a legitimate threat event; (b) when PPD believes in good faith that disclosure is necessary to protect its rights, your safety or the safety of others, including persons with whom you have arranged meetings via the App; (c) with third party vendors, consultants and other services providers who work for us and need access to your information to do that work; (d) to investigate fraud, or respond to a government request.

PPD does not access any of the personal information or credit card information that you have provided to Apple or Google in order to register for their services. You should be familiar with the privacy practices of Apple and Google before providing such information.

SECURITY.

PPD takes commercially reasonable steps to help protect your information against loss, misuse and unauthorized access, or disclosure. HOWEVER, PPD EXPRESSLY DISCLAIMS ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO ENSURING, GUARANTEEING OR OTHERWISE OFFERING ANY DEFINITIVE PROMISE OF SECURITY IN CONNECTION WITH YOUR INFORMATION.
